GDS Sets 4 June 2026 as Record Date for AGM Voting Eligibility

GDS Holdings Limited (abbreviated as GDS) announced that 4 June 2026 will serve as the record date for determining shareholder eligibility to attend and vote at its forthcoming annual general meeting (AGM).

All holders of the company’s ordinary shares, Series A convertible preferred shares and Series B convertible preferred shares recorded by close of business on 4 June 2026 (Hong Kong time) will be entitled to participate in the AGM. Transfer documents for Class A ordinary shares, together with the corresponding share certificates, must reach Computershare Hong Kong Investor Services Limited no later than 4:30 p.m. on the same day to ensure voting rights.

American depositary share (ADS) investors will not be able to attend or vote directly at the AGM. However, ADS holders of record as of close of business on 4 June 2026 (New York time) may instruct JP Morgan Chase Bank, N.A.—the ADS depositary—on how to vote the underlying Class A ordinary shares. Because of the time-zone difference, ADSs canceled on 4 June 2026 (New York time) cannot be converted into Class A ordinary shares in time to secure voting rights for the AGM.

Details regarding the AGM’s date, location and proxy materials will be provided in a forthcoming notice. The announcement, dated 19 May 2026, was authorized by the board of directors, chaired by Mr. William Wei Huang.
