Samudera Shipping Line sells two chemical tankers for 22.95 million US dollars

Samudera Shipping Line Ltd said its wholly owned unit, Samudera Tankers Pte. Ltd., has signed two separate memoranda of agreement to dispose of the chemical tankers Sinar Malahayati (built 2006) and Sinar Mendawai (built 2008) to an unrelated third-party buyer for a combined 22.95 million US dollars in cash.

The buyer will place a 10 % deposit into escrow within three banking days of signing, with the remaining 90 % due upon each vessel’s delivery. Both ships will be transferred together with their existing time-charter contracts, which will be novated to the purchaser at delivery.

Samudera said the vessels had a combined book value of 21.0 million US dollars as at Dec, 31 2025. Based on the agreed consideration, the disposals are expected to generate an estimated pre-tax gain of about 1.3 million US dollars after transaction costs.

Pro-forma calculations show the transaction would have lifted the group’s net tangible assets per share to 115.83 US cents from 115.59 US cents as at Dec, 31 2025, while earnings per share for FY 2025 would have declined to 13.86 US cents from 14.26 US cents if the sale had been completed on Jan, 1 2025.

The disposals, classified as a discloseable transaction under Singapore Exchange rules, reflect the company’s fleet-management and capital-allocation strategy. Net proceeds, after loan repayment, will be used for general working capital and potential fleet renewal or other investments, the company said.

No directors or controlling shareholders have any interest in the transaction beyond their shareholdings in the company. Copies of the sale agreements are available for inspection at the company’s registered office for three months from Jun, 03 2026.
