Tian Tu Capital (HK: 01973) has released a notice convening its 2025 Annual General Meeting (AGM) for 26 May 2026 at 9:30 a.m. in Shenzhen. Shareholders will be asked to review and vote on nine ordinary resolutions that collectively cover the company’s 2025 operating and financial performance as well as governance arrangements for 2026.
1. Financial and Operating Reports • Directors’ Report, independent directors’ work report and the full FY-2025 Annual Report (H-share and NEEQ versions) are up for shareholder approval. • A standalone FY-2025 financial report will also be presented for adoption.
2. Profit Distribution • Management has tabled a FY-2025 profit distribution plan, details of which will be disclosed in the meeting documents and require shareholder ratification.
3. Related-Party Transactions • The AGM will vote on projected ordinary related-party transactions for 2026, aiming to secure prior approval for routine dealings with connected parties.
4. Board Remuneration • Shareholders will decide on allowances payable to external directors during their upcoming term.
5. Auditor Selection • Appointment of the company’s auditor for the 2026 fiscal year is on the agenda, ensuring continuity in statutory auditing.
Share Registration and Proxy Arrangements • The H-share register will close from 20 May 2026 to 26 May 2026, inclusive. • The record date for voting eligibility is 26 May 2026. • Proxy forms must reach Tricor Investor Services Limited or the company’s Shenzhen office no later than 9:30 a.m. on 25 May 2026.
Meeting Logistics The AGM will be held at the company’s conference room, Unit 05, 43/F, Shenzhen Metro Real Estate Building, Shennan Avenue, Futian District, Shenzhen. Shareholders attending in person will bear their own travel and accommodation costs.
