ADICON Wins Unanimous Shareholder Support at 2026 AGM; 10% Buy-back and 20% Issuance Mandates Secured

ADICON Holdings Limited reported decisive shareholder backing for all 10 ordinary resolutions tabled at its Annual General Meeting held on 27 May 2026 in Hong Kong. Every item passed with at least 99.96 % of votes cast in favour, underscoring broad investor confidence in the group’s governance and capital-management plans.

Key outcomes:

• Financial Statements Adopted Shareholders approved the audited consolidated results for the year ended 31 December 2025 with 555.35 million votes in favour and none against.

• Board Composition Confirmed Executive director Wang Legang, non-executive directors Li Bo and Zhou Mintao, and independent non-executive director Zhang Wei were all re-elected with unanimous support. The board was authorised to determine directors’ remuneration.

• Auditor Re-appointed Ernst & Young will continue as external auditor; the board was authorised to set its fee.

• Capital-Management Flexibility Enhanced 1) A 10 % share-repurchase mandate was granted (555.35 million votes for, 0 votes against). 2) A 20 % general issuance mandate—including the ability to sell or transfer treasury shares—was approved (99.96 % support). 3) The issuance mandate may be extended by the amount of any shares repurchased under the buy-back authority, also backed by 99.96 % of voting shares.

Participation & Voting Statistics

• Shares outstanding: 727.26 million, of which 1.62 million are treasury shares without voting rights. • Shares entitled to vote: 725.64 million. • Votes cast on each resolution: 555.35 million, implying a shareholder turnout of approximately 76.55 %. • The 3.00 million unvested shares held under the 2019 Incentive Plans abstained from voting, in line with plan rules.

All nine directors attended the meeting, and Tricor Investor Services Limited acted as scrutineer.

The AGM results secure ADICON’s near-term strategic flexibility, maintaining continuity in board leadership and endorsing the company’s financial reporting, auditor appointment, and share capital mandates.
