Wecon Holdings Sets 20 Aug 2026 AGM; Board Seeks Approval for HK 1.20-Cent Final Dividend, Director Re-elections and Share Mandates

Wecon Holdings Limited will convene its annual general meeting (AGM) on 20 August 2026 at 10:00 a.m. in Wan Chai, Hong Kong. Shareholders will vote on eight ordinary resolutions focusing on dividend distribution, board composition, auditor reappointment and refreshed share mandates.

Key items up for approval are:

1. Financial Statements and Reports • Shareholders will consider and adopt the audited consolidated financial statements and the accompanying directors’ and independent auditor’s reports for the year ended 31 March 2026.

2. Cash Distribution • The board recommends a final dividend of HK 1.20 cents per share, to be paid entirely from the Share Premium Account. • Entitlement is based on the register of members at close of business on 27 August 2026.

3. Auditor Reappointment • Messrs. Deloitte Touche Tohmatsu is nominated to continue as independent auditor, with the board authorised to set remuneration.

4. Board Composition • Re-election of Executive Director Mr. Tsang Tsz Him Philip. • Re-election of Independent Non-executive Directors Dr. Lau Chi Keung and Mr. Sze Kwok Wing Nigel. • The board’s remuneration will be fixed by shareholders’ mandate.

5. Share Issuance Mandate • Directors seek a general mandate to issue new shares or convertible securities up to 20% of current issued share capital, excluding treasury shares.

6. Share Repurchase Mandate • Authorisation is sought to repurchase up to 10% of issued shares on the Hong Kong Stock Exchange or other recognised bourses.

7. Mandate Extension • Conditional on the above mandates passing, the share issuance limit may be increased by the number of shares repurchased under the buy-back authority.

Key administrative dates:

• Book closure for AGM attendance: 17–20 August 2026 (inclusive). • Share transfer deadline for voting rights: 4:30 p.m., 14 August 2026. • Record date for dividend entitlement: 27 August 2026.
