Neutech: March Filing Shows Stable 646.22 Million Issued Shares and Sufficient Public Float

Neutech Group Limited (incorporated in the Cayman Islands) filed its Monthly Return for the period ended 31 March 2026, confirming stable share capital and full compliance with Hong Kong Stock Exchange (HKEX) public-float rules.

The company’s authorised share capital remained unchanged at 1.90 billion ordinary shares with a par value of HKD 0.0002 each, equivalent to HKD 0.38 million.

Issued share capital was steady at 646.22 million ordinary shares, with no movement in either new share issuance or share buy-backs during the month. The firm also reported zero treasury shares, leaving total issued shares unchanged at 646.22 million.

Neutech affirmed that its public float exceeds the HKEX’s 25% minimum threshold, satisfying Main Board Rule 13.32D(1).

Equity incentives showed limited activity: • Pre-IPO Share Incentive Scheme – 8.75 million options outstanding; no exercises or cancellations in March. • Post-IPO Share Incentive Scheme – no options outstanding, though the mandate allows issuance of up to 66.67 million shares.

No warrants, convertible securities or other share-linked instruments were outstanding or transacted during the month, and no funds were raised from option exercises.

Director Wen Tao submitted the return on 2 April 2026, confirming full compliance with all applicable listing and regulatory requirements.
